TERMS AND CONDITIONS

1. INTRODUCTION


Omni Real Estate & Planning Inc. ("Omni," "we," "us," or "our") provides real estate brokerage, property management, and planning services. These Terms and Policies ("Terms") govern your use of our services, website, mobile applications, and other digital platforms (collectively, the "Services").


By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.




2. SERVICES


2.1 Real Estate Brokerage Services


Omni provides real estate brokerage services to assist clients in buying, selling, and leasing properties. Our licensed real estate agents act as intermediaries between buyers and sellers or landlords and tenants.


2.2 Property Management Services


Omni offers property management services to property owners, including tenant screening, rent collection, maintenance coordination, and financial reporting.


2.3 Planning Services


Omni provides real estate planning services, including investment strategy, portfolio analysis, and development consulting.




3. USER ACCOUNTS


3.1 Account Creation


You may need to create an account to access certain features of our Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.


3.2 Account Security


You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.


3.3 Termination


We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.




4. PRIVACY AND COMMUNICATIONS


4.1 Privacy Policy


Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose information about you.

4.3 Communication Methods


You consent to receive communications from us through various channels, which may include:


Email, Text messages (SMS) or multimedia messages (MMS)Automated phone calls or voice messages Push notifications through our mobile applications Direct mailing-app messaging


4.4 Information Sharing


By using our Services, you consent to the sharing of your information in the following circumstances:


With other parties involved in your real estate transactions (e.g., buyers, sellers, landlords, tenants, other agents, title companies, mortgage lenders) as necessary to facilitate transactions With service providers who assist us in providing our Services With affiliated businesses and partners for marketing purposes As required by law or to protect our rights and interests


4.5 Opting Out


You may opt out of certain types of communications by:


Following the unsubscribe instructions in email communications Replying "STOP" to text message communications Updating your communication preferences in your account settings Contacting us directly at the contact information provided in Section 15.5


Please note that even if you opt out of marketing communications, we may still send you transaction-related or administrative communications.




5. INTELLECTUAL PROPERTY


5.1 Our Intellectual Property


The Services and all content and materials included on the Services, including but not limited to text, graphics, logos, images, and software, are owned by or licensed to Omni and are protected by copyright, trademark, and other intellectual property laws.


5.2 Limited License


Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes.


5.3 Restrictions


You may not:


Copy, modify, create derivative works of, publicly display or perform, republish, download, store, transmit, sell, rent, lease, or otherwise exploit the Services or any content thereon without our prior written consentUse any data mining, robots, or similar data gathering or extraction methodsDecompile, reverse engineer, or disassemble any software used to provide the ServicesRemove any copyright, trademark, or other proprietary notices from the Services or any content thereon




6. USER CONTENT


6.1 Responsibility for Content


You are solely responsible for any content, including but not limited to text, images, videos, and reviews that you submit, post, or display on or through the Services ("User Content").


6.2 License to User Content


By submitting User Content, you grant Omni a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, copy, modify, create derivative works of, display, and perform the User Content in connection with the Services and our business.


6.3 Prohibited Content


You agree not to submit User Content that:


Is false, misleading, or deceptive Is defamatory, obscene, pornographic, vulgar, or offensive Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group Violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right Is unlawful, harmful, threatening, abusive, or otherwise objectionable




7. REAL ESTATE TRANSACTIONS


7.1 Agency Relationships


Omni and its licensed agents may represent buyers, sellers, landlords, or tenants in real estate transactions. The specific agency relationship will be disclosed and documented as required by applicable law.


7.2 No Legal or Tax Advice


Omni does not provide legal or tax advice. You should consult with appropriate professionals regarding legal and tax matters related to your real estate transactions.


7.3 Transaction Documentation


All real estate transactions facilitated by Omni will be documented in separate, transaction-specific agreements. These Terms do not constitute a contract for the purchase, sale, or lease of real property.




8. PROPERTY MANAGEMENT


8.1 Property Management Agreement


Property management services will be governed by a separate Property Management Agreement between Omni and the property owner.


8.2 Owner Responsibilities


Property owners are responsible for maintaining adequate insurance coverage, complying with applicable laws and regulations, and providing necessary funds for property maintenance and repairs.


8.3 Tenant Relations


Omni will manage tenant relations in accordance with applicable landlord-tenant laws and the terms of the Property Management Agreement.




9. PAYMENT TERMS


9.1 Fees and Commissions


Fees and commissions for our Services are specified in separate service agreements. Payment terms and methods are also outlined in those agreements.


9.2 Payment Processing


Payments made through our Services are processed by third-party payment processors. By making a payment, you agree to the terms and conditions of these payment processors.


9.3 Refunds


Refund policies are specified in the relevant service agreements. Unless otherwise stated, all fees and commissions are non-refundable.




10. DISCLAIMERS


10.1 General Disclaimer


THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


10.2 Information Accuracy


While we strive to provide accurate information, we do not warrant that property descriptions, prices, or other content on the Services are accurate, complete, reliable, current, or error-free.


10.3 Third-Party Content


The Services may contain links to third-party websites or services that are not owned or controlled by Omni. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.




11. LIMITATION OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:


(a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
(c) ANY CONTENT OBTAINED FROM THE SERVICES; AND
(d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.


IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE DATE OF THE EVENT GIVING RISE TO SUCH LIABILITY.




12. INDEMNIFICATION


You agree to defend, indemnify, and hold harmless Omni and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.




13. GOVERNING LAW AND DISPUTE RESOLUTION


13.1 Governing Law


These Terms shall be governed by and construed in accordance with the laws of the state where Omni's principal place of business is located, without regard to its conflict of law principles.


13.2 Dispute Resolution


Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to mediation before a mutually agreed-upon mediator. If mediation is unsuccessful, either party may pursue legal action in the state and federal courts located in the county where Omni's principal place of business is located.


13.3 Class Action Waiver


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND OMNI WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.




14. CHANGES TO TERMS


We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.




15. MISCELLANEOUS


15.1 Entire Agreement


These Terms, together with any other agreements specifically referenced herein, constitute the entire agreement between you and Omni regarding the Services.


15.2 Severability


If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent possible under the law.


15.3 No Waiver


Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.


15.4 Assignment


You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.
